GALLERY–ARTIST PARTICIPATION AND EXHIBITION AGREEMENT

This Artist Participation, Exhibition & Consignment Agreement is entered into as of August 18, 2026 (“Effective Date”) by and between: CHIPMUNK,  with its principal activities based in Vermont, U.S.

and

The undersigned artist

1. Purpose and Relationship

1.1 Purpose : Artist wishes to make certain artwork available in a digital format to CHIPMUNK  for exhibition, promotion, documentation, reproduction as outlined below, and sale. Chipmunk wishes to provide these services on the terms of this Agreement.

1.2 Independent Parties : The Parties are independent contractors. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency relationship except to the limited extent expressly stated in this Agreement.

1.3 Non-Exclusive Relationship : Unless otherwise stated in a written addendum, this Agreement is non-exclusive. Artist remains free to exhibit or sell work through other galleries, dealers, agents, online platforms, or directly to collectors, provided that Artist does not knowingly violate any exclusivity expressly agreed to in writing.

2. Term

2.1 Initial Term : This Agreement begins on the Effective Date noted above and  continues until terminated through an expressed written interest of either the artist or CHIPMUNK when in accordance with this Agreement.

2.2 Review : The Parties may periodically review pricing, exhibition plans, and the scope of their relationship.

3. Artwork Covered by the Agreement

3.1 Submitted / Printed Artwork : Artwork subject to this Agreement will be approved by both Parties for reproduction as archival prints for the purposes of : Providing documentation of the artists work within the project archive , exhibiting and promoting the artists work and presenting reproductions for sale in numbered editions of twenty (20) copies.  

3.2 Quantity : The participating artist agrees to submit an initial group of six (6) images in the format of hi-resolution digital files to be incorporated into the project. They also agree to submit a minimum of two (2) additional images in the format of hi-resolution digital files each following year.

3.3 Ownership : The ownership of the Original Artwork remains with Artist, subject to any rights granted to Gallery under this Agreement.

3.4 No Encumbrances : Artist represents that they own the Artwork free and clear of liens, claims, security interests, and competing ownership rights.

4. Delivery 

Delivery : Artist will deliver high resolution digital images of Artwork to Chipmunk in accordance with mutually agreed delivery dates.

5.Reproduction and Useage

Reproduction : Chipmunk will reproduce artwork submitted by the artist in the format of archival prints. Two copies will be entered into the project archive. Twenty copies will be made available for sale.  Artwork reproduced in the form of an artist edition or publication will be developed collaboratively between Chipmunk and the artist(s) and will be addressed with a separate agreement. 

6. Exhibition and Promotion

6.1 Exhibition : Chipmunk may exhibit Artwork at its physical premises, art fairs, exhibitions, pop-ups, and other venues which are consistent with the purpose of this Agreement.

6.2 Promotion : Chipmunk may promote Artist and Artwork through its website, social media, email marketing, printed materials, advertisements, press releases, catalogs, and other reasonable promotional channels.

6.3 Usage : Artist grants CHIPMUNK a non-exclusive license in exchange for an percentage of earnings gained from the sale of their artwork. The license is for the production of 20 prints per image and also for the purposes of archiving the artists participation and history within the archive and in exhibitions.  Artist grants Chipmunk the right to utilize digital images of Artwork and Artist’s name, biography, likeness, and professional information for purposes of promoting the Artist, Artwork, exhibitions, and sales.

6.4 Credit : Gallery will make all reasonable efforts to credit Artist when commercially and technically practicable.

7. Pricing

7.1 Retail prices : Prices for Print editions will be set by Chipmunk. Prices for artist editions will be decided upon by both parties. 

7.2 Changes in pricing : Chipmunk will not change an agreed upon retail price without informing the Artist prior to doing so, except for temporary promotional discounts expressly authorized under this Agreement.

7.3 Discounts : Chipmunk may offer discounts of up to 15 % from the agreed retail price without additional approval. Any discount exceeding that amount requires the  Artist’s approval.

8. Sales and Commission

8.1 Authorization : Chipmunk is authorized to offer Artwork for sale at the agreed retail prices.

8.2 Sales Commissions : For each sale, Gallery will retain a commission equal to 50% of the net earnings, and Artist will receive 50%. If an artist drives a sale to Chipmunk, they will receive an additional 5% of the net earnings connected to that sale.

8.3 Chipmunk's commission : Intended to compensate for expenses and labor  related to the project and is used to continue building and maintaining the archive and supplemental programming. 

8.4 Taxes : Applicable sales, use, VAT, or similar transaction taxes will be handled in accordance with applicable law and will not be treated as part of the commissionable sale price unless otherwise agreed.

8.5 Payment to Artist : Chipmunk will provide Artists with a sales statement and remit the Artist’s share of the earnings no later than 15 days after Gallery receives cleared payment from the purchaser. Chipmunk is not required to release the Artist’s share of a sale before payment has actually been received from the purchaser.

9. Expenses

Expenses : Expenses related to the reproduction, exhibition and promotion of the Artists work is the responsibility of Chipmunk unless otherwise agreed to in writing.

10. Records and Statements

10.1 Records : Gallery will maintain reasonable records of Artworks received, Artwork sold, sale prices, commissions, and amounts payable to Artist. Upon reasonable request, Artist may review records relating specifically to their personal Artwork and sales.

10.2 Gallery will provide Artist with a record documenting sales as well as a current inventory report.

11. Online Sales and Digital Platforms

11.1 Online : Chipmunk may display and offer Artwork through its website and through project partner's sites.

11.2 Promotion : Artist will provide accurate images, descriptions, information, biographies, and other materials reasonably necessary for online promotion.

12. Artist Representations and Warranties

Artist represents and warrants that:

a. Artist is the creator of the Artwork.

b. Artist has authority to enter into this Agreement.

c. Artwork is authentic and accurately described.

d. Artwork does not knowingly infringe another person’s copyright, trademark, moral rights, publicity rights, or other intellectual-property rights.

e. Artist has disclosed any known restrictions, liens, prior sales, commissions, ownership interests, or other claims affecting the Artwork.

f. Artist will promptly notify Chipmunk of any material change affecting Artwork or Artist’s ability to perform this Agreement.

13. Copyright and Ownership

13.1 Ownership : Artist retains ownership of Artwork except to the extent expressly expressed in this agreement.

13.2 Authorization : Artist authorizes Gallery to use reproductions of Artwork as reasonably necessary for exhibition, advertising, cataloging, archival documentation, press, and sales activities.

13.3 Additional opportunities : Any licensing, merchandising, commercial reproduction, NFT/digital licensing, film/television use, or other exploitation beyond the terms of use outlined above will require a separate written agreement between Chipmunk and the Artist.

14. Artist’s Moral and Attribution Rights

Chipmunk will make all reasonable efforts to accurately portray artwork and will not knowingly alter, materially modify, or reproduce Artwork in a misleading manner, except where necessary for installation, framing, or presentation.

15. Termination

15.1 Termination without cause : Either Party may terminate this Agreement without cause upon 180 days written notice.

15.2 Immediate termination with cause : Either Party may terminate immediately upon written notice if the other party engages in fraud, intentional misrepresentation, or conduct reasonably likely to cause substantial reputational harm to the other Party

15.3 Payment after termination of agreement : Termination will not affect rights or payment obligations that accrued before termination of the agreement. Both Parties will cooperate in good faith to wind down outstanding payments and pending sales following termination.

16. Indemnification

16.1 Artist will indemnify and hold Chipmunk harmless from third-party claims arising from Artist’s breach of the representations and warranties in Section 12, subject to applicable law.

16.2 Chipmunk will indemnify and hold Artist harmless from third-party claims arising from Gallery’s gross negligence, willful misconduct, or material breach of this Agreement, subject to applicable law.

17. Assignment

Neither Party may assign this Agreement to another party except that the Artist may assign payment rights to Artist’s estate or a legally authorized representative.

18. Entire Agreement

This Agreement constitutes the entire agreement between the Parties concerning its subject matter.

19. Amendments

Any future amendment to this Agreement must be in writing and accepted by both Parties.

20. Electronic Signatures and Counterparts

The Parties may execute this Agreement electronically and in counterparts. Electronic signatures will have the same effect as original signatures to the extent permitted by applicable law.
